Ekspress Grupp exits Tallinn exchange: shareholders approve takeover

The general meeting of shareholders of Ekspress Grupp AS approved on Monday the plan of majority shareholder HHL Rühm OÜ to acquire the shares of minority shareholders and cease trading of the company on the Tallinn exchange. This means that Ekspress Grupp is leaving the Tallinn exchange.

Shareholders of Ekspress Grupp AS decided at a regular general meeting on Monday to support the majority shareholder HHL Rühm OÜ's intention to acquire all shares held by minority shareholders. As a result of the decision, the media group will cease trading on the Tallinn exchange.

In the course of the takeover process, HHL Rühm OÜ will acquire the stake of minority shareholders, after which the company will have no obligation or need to continue listing its shares on Nasdaq Tallinn. Ekspress Grupp is one of Estonia's largest media groups, encompassing numerous well-known publications and digital platforms.

The departure from the exchange is a significant event for the Estonian capital market, as Ekspress Grupp has been one of the longest-standing local listed companies. For minority shareholders, this means they will receive fair compensation for their shares and will lose the ability to freely trade shares on the exchange.
